AGREEMENT TO THESE TERMS

These Terms of Use (“Terms”) govern your access to and use of NOLA Women’s Sports, including our website, waitlist, newsletters, memberships, community spaces, events, content, advertising, sponsorships, products, services, mobile or digital experiences, and any other online or offline offerings that link to these Terms.


NOLA Women’s Sports (“NOLA Women’s Sports,” “we,” “us,” or “our”) is a community, media, and membership brand created to celebrate, connect, and grow women’s sports culture in New Orleans and beyond.


By accessing or using any part of our services, submitting information through our waitlist, joining our newsletter, purchasing a membership, participating in our community, registering for an event, attending an event, purchasing a product, or otherwise interacting with NOLA Women’s Sports, you agree to be bound by these Terms.


If you do not agree to these Terms, you must not access or use our services.


At this time, NOLA Women’s Sports is in a pre-launch phase. The currently available service may be limited to a website, waitlist, interest form, or related pre-launch communications. Future offerings, including newsletters, memberships, community access, paid services, events, and other features, may require you to review and agree to updated Terms before participating.

  1. PRE-LAUNCH STATUS AND FUTURE ENTITY FORMATION

NOLA Women’s Sports is currently in a pre-launch phase and does not currently operate as a separately formed NOLA Women’s Sports LLC.


We may later form or transfer operations to a legal entity, such as NOLA Women’s Sports LLC or another successor, affiliate, related company, or operating entity. If that happens, the rights, obligations, services, records, waitlist information, subscriber information, member information, event information, community information, sponsor relationships, vendor relationships, and other business assets related to NOLA Women’s Sports may be transferred to that entity as part of the launch, reorganization, formation, or continuation of the business.


If we make material changes to these Terms in connection with the launch of NOLA Women’s Sports, formation of a legal entity, launch of memberships, launch of a newsletter, launch of a community platform, introduction of paid services, or other new offerings, we may ask users to review or agree to updated Terms where appropriate.


  1. OUR SERVICES

NOLA Women’s Sports may offer or make available:

  • A website

  • A waitlist or launch list

  • Free newsletters

  • Paid memberships

  • Community spaces

  • Watch parties

  • Meet-ups

  • Ticketed events

  • Panels, activations, and experiences

  • Member-only content

  • Women’s sports calendars or event guides

  • Local perks or partner offers

  • Merchandise

  • Digital products

  • Editorial content, commentary, and recommendations

  • Sponsorships, advertising, and brand partnerships

  • Giveaways, contests, and promotions

  • Mobile, platform-based, or digital experiences

  • Other related services, products, or offerings


Some offerings may be free. Others may require payment, subscription, registration, membership, event ticket purchase, or other access requirements.


We may change, modify, add, remove, pause, or discontinue any part of the services at any time, with or without notice.


  1. NO GUARANTEE OF BENEFITS, EVENTS, ACCESS, OR RESULTS

NOLA Women’s Sports may promote memberships, community access, events, watch parties, newsletters, local perks, discounts, sponsor offers, partner opportunities, or other benefits.


However, we do not guarantee:

  • Any specific number of events

  • Any specific number of watch parties

  • Any specific event frequency

  • Any specific partner perk

  • Any specific sponsor offer

  • Any specific discount

  • Any specific community feature

  • Any specific membership benefit

  • Any specific availability of tickets, access, seats, or capacity

  • Any specific outcome from joining the waitlist, newsletter, membership, community, or event


Benefits, features, pricing, access, partners, events, and offerings may change over time. Partner offers, sponsor benefits, and local perks may be subject to availability, partner participation, eligibility, expiration dates, and separate terms.


  1. ELIGIBILITY AND INTENDED USERS

Our online services, accounts, memberships, and communities are intended for users who are at least 13 years old. Children under 13 may not create accounts, join online communities, purchase memberships, submit forms, or provide personal information through our online services without verified parental consent where required by law.


Users under the age of majority in their state or place of residence should use our services only with permission from a parent or guardian.

Certain events may be restricted to individuals who are 18 years old or older, 21 years old or older, or another age depending on the event, venue, alcohol service, law, or event-specific requirements. We reserve the right to require identification, deny entry, or remove any person from an event if we determine they do not meet the event requirements.


We may not be able to determine a person’s age unless that information is provided to us. If we learn that we have collected personal information from a child under 13 without appropriate consent, we will take reasonable steps to delete that information.


  1. WAITLIST AND PRE-LAUNCH SIGNUPS

During the pre-launch phase, you may be able to join a waitlist, interest list, launch list, or similar pre-launch communication list.

Joining the waitlist does not guarantee:

  • Membership access

  • A specific launch date

  • A specific price

  • A specific membership tier

  • A specific benefit

  • A specific event

  • A specific community feature

  • A specific promotional offer

  • Acceptance into any future membership or community

  • Access to limited-capacity offerings


We may use waitlist information to communicate with you about NOLA Women’s Sports, announce future offerings, understand audience interest, plan launch, and invite you to join future newsletters, memberships, communities, events, or other services.

We may close, modify, pause, or discontinue the waitlist at any time.


  1. NEWSLETTERS AND COMMUNICATIONS

If you sign up for our waitlist, newsletter, membership, community, event list, or other communications, we may send you emails or other messages about NOLA Women’s Sports.

These communications may include:

  • Launch updates

  • Newsletters

  • Membership announcements

  • Event announcements

  • Community updates

  • Partner offers

  • Promotions

  • Surveys

  • Customer service messages

  • Legal or policy updates

  • Account, purchase, billing, or event-related messages


You can unsubscribe from marketing emails by clicking the unsubscribe link in the email or contacting us.

If you opt in to text messages, message and data rates may apply. You may opt out of marketing texts by following the instructions in the message, such as replying STOP.


Even if you opt out of marketing communications, we may still send you non-marketing messages related to your account, purchase, membership, billing, event registration, safety, legal updates, or customer service.


  1. ACCOUNTS, MEMBERSHIPS, AND COMMUNITY ACCESS

Certain services may require you to create an account, purchase a membership, join a community, or register for access.

You agree to provide accurate, current, and complete information and to update your information as needed.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You may not share, sell, transfer, sublicense, or give your account access to another person unless we expressly allow it in writing.

We may offer free memberships, paid memberships, subscriptions, trials, discounts, promotional access, founding member access, limited-time offers, partner access, or other membership options. We may change membership benefits, access levels, pricing, plan structures, features, or availability at any time, subject to applicable law and any specific terms presented at checkout.

We reserve the right to approve, deny, suspend, cancel, limit, or terminate any account, membership, community access, or event access at our discretion, including for violation of these Terms, violation of community rules, safety concerns, payment issues, misconduct, suspected fraud, or behavior that harms NOLA Women’s Sports, our users, our partners, our vendors, or our community.


  1. SUBSCRIPTIONS, AUTO-RENEWALS, AND PAYMENT

Some memberships, subscriptions, or services may require payment.

If you purchase a paid membership, subscription, event ticket, product, digital product, merchandise, or other paid offering, you agree to provide current, complete, and accurate billing information.

By purchasing a subscription or recurring membership, you authorize us and our payment processor to charge your selected payment method on a recurring basis at the then-applicable rate, plus any applicable taxes, fees, or charges, until you cancel.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

You may cancel your subscription according to the cancellation method provided in your account, checkout terms, membership page, or other instructions we provide. Unless otherwise stated, cancellation takes effect at the end of the then-current billing period.

You are responsible for canceling before your renewal date if you do not want to be charged for the next billing period.

We may change pricing, membership structures, billing periods, benefits, or subscription features at any time. For existing paid subscribers, we will provide notice of material pricing changes where required by law or where we determine notice is appropriate.

If payment fails, is disputed, is charged back, or cannot be processed, we may suspend, limit, or terminate your access to paid services.

Payment card details are processed by third-party payment processors. We do not store your full credit card number on our own systems.


  1. REFUND POLICY

Unless otherwise stated in writing or required by applicable law, all purchases are final and non-refundable.

This includes, but is not limited to:

  • Membership fees

  • Subscription fees

  • Partial billing periods

  • Unused membership time

  • Event tickets

  • Digital products

  • Merchandise

  • Sponsorship activations

  • Promotional purchases

  • Other paid services or products


If you cancel a paid subscription, you will continue to have access through the end of the then-current billing period unless otherwise stated. Cancellation does not entitle you to a refund for amounts already paid.


If you believe a charge was made in error, contact us at amandagianelloni@gmail.com within thirty (30) days of the charge date so we can review the matter.


  1. EVENTS AND IN-PERSON EXPERIENCES

NOLA Women’s Sports may host, promote, sponsor, or participate in in-person or virtual events, including watch parties, meet-ups, panels, activations, community gatherings, sponsor events, and other experiences.

Event access may be free, paid, member-only, invite-only, first-come-first-served, age-restricted, capacity-limited, or subject to event-specific requirements.


We reserve the right to:

  • Change event dates

  • Change event times

  • Change event locations

  • Change venues

  • Change hosts, guests, speakers, partners, or sponsors

  • Change event format

  • Limit capacity

  • Refuse entry

  • Remove attendees

  • Cancel or reschedule events

  • Modify event programming

  • End an event early

  • Enforce venue rules, event rules, safety rules, and community standards


If we cancel or reschedule a paid event, we may provide a refund, credit, transfer, replacement event access, or another remedy at our discretion unless otherwise required by law or stated in event-specific terms.


We are not responsible for travel costs, lodging costs, transportation costs, parking costs, childcare costs, lost wages, missed opportunities, or other costs or losses related to event cancellation, rescheduling, delay, venue changes, denied entry, removal, or event modifications.


  1. EVENT RISK, VENUES, ALCOHOL, AND PERSONAL RESPONSIBILITY

By attending a NOLA Women’s Sports event, you understand and agree that in-person events involve risks, including but not limited to:

  • Crowds

  • Slips, trips, and falls

  • Food and beverage risks

  • Alcohol-related risks

  • Transportation and parking risks

  • Weather conditions

  • Personal property loss or theft

  • Illness or exposure to contagious disease

  • Actions of other attendees

  • Venue conditions

  • Third-party vendor conduct

  • Security issues

  • Other risks associated with public or private gatherings


You voluntarily assume all risks associated with attending or participating in events to the fullest extent permitted by law.

You are responsible for your own conduct, safety, belongings, transportation, decisions, alcohol consumption, and compliance with applicable laws, venue rules, and event rules.


Alcohol may be available at certain events through third-party venues, bars, caterers, sponsors, or vendors. You must comply with all age laws, identification requirements, venue rules, alcohol service rules, and responsible conduct expectations.


We are not responsible for alcohol service provided by third-party venues, bars, caterers, vendors, or sponsors. We reserve the right to deny entry, remove, or refuse service to anyone who appears intoxicated, disruptive, unsafe, underage, in violation of law, or in violation of venue or event rules.


To the fullest extent permitted by law, you release NOLA Women’s Sports, its owners, operators, successors, affiliates, partners, sponsors, vendors, venues, contractors, representatives, and personnel from claims arising out of or related to your attendance at or participation in any event, except where such release is prohibited by law.


Nothing in these Terms is intended to waive rights that cannot be waived under applicable law.


  1. MINORS AT EVENTS

NOLA Women’s Sports does not intend to collect personal information from minors and does not direct its online services to children under 13.

Certain events may be adults-only or restricted to attendees who are 18 or older or 21 or older. Event pages, registration pages, venue rules, or check-in materials may state age requirements.

If a parent, guardian, or responsible adult brings a minor to an event where minors are permitted or present, that adult is solely responsible for the minor’s safety, supervision, conduct, and compliance with event rules, venue rules, and applicable law.

By bringing a minor to an event, the parent, guardian, or responsible adult agrees to these Terms on behalf of themselves and, to the extent permitted by law, on behalf of the minor.

We reserve the right to deny entry to minors or require minors to leave an event if the event is age-restricted, if the venue prohibits minors, if alcohol service or law requires restriction, or if we determine that attendance by a minor is inappropriate or unsafe.


  1. COMMUNITY GUIDELINES AND MEMBER CONDUCT

If we offer a community space, whether free, paid, public, private, or member-only, you agree to participate respectfully and in good faith.

You may not:

  • Harass, threaten, abuse, intimidate, bully, stalk, or harm another person

  • Post hate speech, discriminatory content, or demeaning content

  • Post sexually explicit, violent, graphic, or exploitative content

  • Dox, expose, or share private information about another person

  • Impersonate another person or organization

  • Post spam, scams, phishing attempts, malware, or deceptive content

  • Solicit members without permission

  • Promote your own business, event, product, service, or offer unless we have approved it or partnered with you

  • Use the community to recruit, scrape, harvest, or extract member information

  • Use the community to build, market, or promote a competing community, media brand, event, business, or service

  • Post false, misleading, or deceptive information

  • Violate intellectual property rights, privacy rights, publicity rights, or other rights of others

  • Disrupt community discussions or events

  • Interfere with community operations or platform security

  • Violate any law, regulation, platform rule, or these Terms


We reserve the right to moderate, edit, remove, hide, restrict, or delete content, posts, comments, or messages at our discretion.


We may suspend, remove, ban, or limit access to any member or user at any time if we believe their conduct violates these Terms, violates community guidelines, creates risk, harms the community, damages the brand, violates law, or is otherwise inappropriate.


We are not obligated to provide warnings, explanations, refunds, or appeals before removing or restricting access, although we may choose to do so.


  1. SPONSORS, ADVERTISERS, BRANDS, AND PARTNERS

NOLA Women’s Sports may work with sponsors, advertisers, brands, venues, media partners, local businesses, vendors, affiliates, and community partners.

Only NOLA Women’s Sports may approve sponsor, advertiser, partner, or promotional content within our official website, newsletter, community, events, social media, or other channels.

Sponsors, advertisers, brands, vendors, or partners may not post, promote, solicit, message, sell to, or contact our members or community through our services unless we have approved the activity in writing.

Sponsors, advertisers, brands, partners, and vendors may not use the NOLA Women’s Sports name, logo, trademarks, community, audience, content, photos, videos, event materials, or brand assets in their own marketing, advertising, press, social media, sales materials, sponsorship decks, or promotional materials without our prior written approval.

We may share aggregated, de-identified, or limited audience, community, event, campaign, and performance information with sponsors, advertisers, partners, venues, investors, or business partners.

We do not share personal contact information, such as email addresses or phone numbers, with sponsors, advertisers, or partners for their own independent marketing unless the user consents, intentionally submits information to that partner, participates in an offer that requires sharing, or otherwise directs us to share it.


  1. GIVEAWAYS, CONTESTS, SWEEPSTAKES, AND PROMOTIONS

We may offer giveaways, contests, sweepstakes, challenges, promotions, perks, sponsor activations, or partner offers.

Additional rules, eligibility requirements, deadlines, prize details, odds, restrictions, tax obligations, and sponsor terms may apply.

By participating in a giveaway, contest, sweepstakes, promotion, or partner offer, you agree to comply with any additional rules or terms provided.


We reserve the right to cancel, modify, suspend, disqualify participants from, or terminate any giveaway, contest, sweepstakes, promotion, or partner offer if we believe fraud, technical issues, abuse, legal concerns, sponsor changes, or other circumstances affect the fairness, integrity, legality, or administration of the promotion.


Unless otherwise stated, giveaways, contests, sweepstakes, and promotions are not sponsored, endorsed, administered by, or associated with any social media platform on which they may be promoted.


  1. EDITORIAL CONTENT, NEWS, RECOMMENDATIONS, AND NO PROFESSIONAL ADVICE

NOLA Women’s Sports may publish content, commentary, recommendations, calendars, guides, opinions, interviews, event listings, watch party suggestions, local business recommendations, ticket links, product recommendations, partner offers, sponsor content, and other media.


Our content is provided for informational, entertainment, community, editorial, and promotional purposes only.

We do not guarantee that content is complete, current, accurate, available, or applicable to your situation.

Content may include opinions, commentary, third-party information, links, sponsor mentions, affiliate links, recommendations, or promotional material.

Nothing provided by NOLA Women’s Sports constitutes legal, financial, tax, medical, professional, investment, safety, or other professional advice.

You are responsible for your own decisions, purchases, event attendance, travel, use of third-party services, reliance on recommendations, and interactions with third parties.


  1. THIRD-PARTY VENUES, PLATFORMS, LINKS, AND SERVICES

Our services may include links, integrations, referrals, recommendations, or access to third-party websites, platforms, venues, apps, payment processors, community tools, ticketing platforms, social media platforms, sponsor websites, partner offers, vendor services, or other third-party resources.


Third parties are independent from NOLA Women’s Sports unless we expressly state otherwise.


We do not control and are not responsible for:

  • Third-party websites

  • Third-party terms

  • Third-party privacy practices

  • Third-party content

  • Third-party pricing

  • Third-party product quality

  • Third-party venue conditions

  • Third-party event rules

  • Third-party service availability

  • Third-party conduct

  • Third-party payment processing

  • Third-party refunds

  • Third-party security

  • Third-party claims, promises, or representations


Your use of third-party services is at your own risk and may be subject to separate terms, policies, waivers, rules, and privacy practices.


  1. USER CONTENT

You may be able to submit, post, upload, tag, mention, share, or provide content through our website, community, forms, social media, events, messages, surveys, or other services.


“User Content” includes, but is not limited to:

  • Posts

  • Comments

  • Replies

  • Messages

  • Photos

  • Videos

  • Audio

  • Testimonials

  • Reviews

  • Questions

  • Survey responses

  • Event submissions

  • Social media tags or mentions

  • Community contributions

  • Other content you provide


You retain ownership of your User Content.


By submitting, posting, uploading, tagging, mentioning, sharing, or otherwise providing User Content to or in connection with NOLA Women’s Sports, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to access, store, host, reproduce, display, publish, distribute, modify, adapt, edit, excerpt, repost, share, create derivative works from, and otherwise use your User Content for the following purposes:

  • Operating NOLA Women’s Sports

  • Displaying content within our community or services

  • Moderating and managing the community

  • Responding to you

  • Creating community recaps

  • Promoting NOLA Women’s Sports

  • Reposting tagged or submitted content

  • Using testimonials, comments, or feedback

  • Creating social media content

  • Creating newsletters, website content, event recaps, sponsor recaps, and promotional materials

  • Improving our services

  • Complying with legal obligations

  • Protecting our rights and community


We may ask for additional permission before using your name, photo, likeness, testimonial, or personal story in formal paid advertising campaigns or major promotional campaigns.


You represent and warrant that:

  • You own or have the necessary rights to submit your User Content

  • Your User Content does not infringe the rights of any third party

  • Your User Content does not violate privacy rights, publicity rights, intellectual property rights, or other rights

  • Your User Content is not unlawful, harmful, defamatory, abusive, misleading, or otherwise improper

  • You have the right to grant us the license described in these Terms

  • We may remove or restrict User Content at any time for any reason, including if we believe it violates these Terms, violates community guidelines, creates legal risk, harms the community, or is otherwise inappropriate.


  1. EVENT PHOTOS, VIDEOS, AUDIO, AND MEDIA RELEASE

NOLA Women’s Sports events, meet-ups, watch parties, activations, panels, and experiences may be photographed, filmed, livestreamed, recorded, or otherwise captured.


By attending or participating in a NOLA Women’s Sports event, you understand and agree that you may appear in photos, videos, audio recordings, livestreams, social media posts, newsletters, website content, sponsor recaps, promotional materials, advertising materials, and other media.


To the fullest extent permitted by law, you grant NOLA Women’s Sports and its owners, operators, successors, affiliates, sponsors, partners, vendors, contractors, licensees, and assigns the right to use your name, image, likeness, voice, appearance, statements, and participation as captured at or in connection with the event for:

  • Social media

  • Newsletters

  • Website content

  • Community recaps

  • Event recaps

  • Sponsor recaps

  • Promotional materials

  • Advertising materials

  • Archival purposes

  • Public relations

  • Business development

  • Other lawful business purposes


You understand that you may not receive compensation, approval rights, or notice for such use.


If you do not want to be photographed or recorded, you should contact us before the event or notify an event organizer when you arrive. We will make reasonable efforts to honor requests, but we cannot guarantee removal from crowd shots, background footage, livestreams, public event coverage, or content captured by other attendees, venues, sponsors, media, or third parties.


  1. INTELLECTUAL PROPERTY RIGHTS

NOLA Women’s Sports owns or licenses the intellectual property rights in our services, including our name, logos, trademarks, service marks, website designs, graphics, text, photos, videos, audio, event concepts, community structure, membership materials, newsletters, calendars, guides, content, marketing materials, and other materials made available by us.

You may access and use our services and content for personal, non-commercial use only, unless we provide written permission otherwise.

You may not copy, reproduce, distribute, sell, license, publicly display, modify, create derivative works from, scrape, aggregate, republish, upload, transmit, exploit, or use our content, brand assets, trademarks, or materials for commercial purposes without our prior written permission.


You may not use our name, logo, trademarks, content, event concepts, community materials, or brand assets in a way that suggests sponsorship, endorsement, partnership, affiliation, or approval without our prior written consent.


  1. PROHIBITED ACTIVITIES

You agree not to:

  • Use our services for any illegal or unauthorized purpose

  • Violate any applicable law, regulation, rule, or third-party right

  • Harass, abuse, threaten, intimidate, or harm another person

  • Post or transmit hateful, discriminatory, defamatory, obscene, violent, or unlawful content

  • Impersonate another person, organization, or brand

  • Submit false, misleading, inaccurate, or deceptive information

  • Interfere with or disrupt our services, website, community, events, or platforms

  • Attempt to bypass security or access controls

  • Use bots, scripts, scrapers, crawlers, or automated tools without permission

  • Collect, scrape, harvest, or sell user information

  • Use our services to build or promote a competing business, community, media brand, event, or service

  • Promote your own business, product, service, event, or offer unless approved by us

  • Upload malware, viruses, or harmful code

  • Engage in fraud, chargeback abuse, payment abuse, or misuse of promotions

  • Resell tickets, memberships, access, or benefits unless permitted by us

  • Disrupt events, venues, speakers, sponsors, vendors, staff, members, or attendees

  • Violate venue rules, event rules, platform rules, or community guidelines

  • Use our intellectual property without permission

  • Misrepresent your relationship with NOLA Women’s Sports

  • Encourage others to violate these Terms


  1. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to:

  • Monitor our services for violations of these Terms

  • Moderate community spaces

  • Remove, restrict, or edit content

  • Suspend or terminate accounts

  • Limit access to features, events, or services

  • Investigate suspected misconduct

  • Refuse service

  • Deny event entry

  • Remove attendees from events

  • Cancel memberships

  • Block users

  • Take legal action where appropriate

  • Manage our services in a way designed to protect the community, brand, users, partners, vendors, sponsors, and business


  1. PRIVACY POLICY

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect information.

By using our services, you acknowledge that you have reviewed our Privacy Policy.


If our Privacy Policy conflicts with these Terms regarding privacy practices, the Privacy Policy will control for privacy-related matters.


  1. SERVICE CHANGES, AVAILABILITY, AND INTERRUPTIONS

We may modify, suspend, discontinue, remove, or restrict any part of our services at any time, with or without notice.

We do not guarantee that our website, waitlist, newsletter, community, memberships, events, content, or services will always be available, uninterrupted, secure, or error-free.


We are not responsible for delays, interruptions, data loss, technical issues, platform outages, third-party failures, venue issues, payment processor issues, community platform issues, or other disruptions.


  1. TERMINATION

These Terms remain in effect while you use our services.

We may suspend, terminate, restrict, or deny access to any user, account, membership, event, community, service, or offering at any time, with or without notice, for any reason permitted by law, including if we believe you violated these Terms, violated community guidelines, failed to pay, created safety concerns, engaged in misconduct, harmed the community, misused our services, or created legal or business risk.


If your access is terminated for cause, you may not create a new account, purchase a new membership, rejoin the community, or attend future events without our written permission.


Sections that by their nature should survive termination will survive, including intellectual property, user content license, event media release, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and miscellaneous provisions.


  1. DISCLAIMERS

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

  • THE SERVICES WILL BE UNINTERRUPTED

  • THE SERVICES WILL BE ERROR-FREE

  • THE SERVICES WILL BE SECURE

  • THE SERVICES WILL MEET YOUR EXPECTATIONS

  • CONTENT WILL ALWAYS BE ACCURATE OR CURRENT

  • EVENTS WILL OCCUR AS PROMOTED

  • MEMBERSHIP BENEFITS WILL REMAIN THE SAME

  • PARTNER OFFERS WILL REMAIN AVAILABLE

  • COMMUNITY ACCESS WILL BE UNINTERRUPTED

  • THIRD-PARTY SERVICES WILL FUNCTION PROPERLY


You use the services at your own risk.


  1. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, NOLA WOMEN’S SPORTS AND ITS OWNERS, OPERATORS, SUCCESSORS, AFFILIATES, PARTNERS, SPONSORS, ADVERTISERS, VENUES, VENDORS, CONTRACTORS, REPRESENTATIVES, AND PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF OPPORTUNITY, PERSONAL PROPERTY LOSS, EVENT-RELATED COSTS, OR OTHER DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.


TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO NOLA WOMEN’S SPORTS DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.


Nothing in these Terms limits liability in a way that is not permitted by applicable law.


  1. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless NOLA Women’s Sports and its owners, operators, successors, affiliates, partners, sponsors, advertisers, venues, vendors, contractors, representatives, and personnel from and against any claims, damages, losses, liabilities, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or related to:

  • Your use of the services

  • Your attendance at or participation in events

  • Your breach of these Terms

  • Your violation of community guidelines or event rules

  • Your violation of any law or regulation

  • Your violation of any third-party rights

  • Your User Content

  • Your misconduct

  • Your negligence or wrongful acts

  • Your interactions with other users, members, attendees, sponsors, vendors, venues, or third parties

  • Your promotion or solicitation of products, services, events, or businesses without approval

  • Your misuse of sponsor offers, partner perks, giveaways, contests, or promotions

  • Your failure to supervise a minor you bring to an event

  • Your failure to comply with venue rules, alcohol laws, age restrictions, or safety requirements


We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate with us.


  1. USER DATA

We may maintain certain data transmitted through our services for the purpose of operating, improving, and managing our services.

Although we may use reasonable efforts to protect and back up data, we do not guarantee that any data, content, account information, community content, or submissions will be preserved or recoverable.


You are responsible for maintaining your own copies of any information, content, or materials you consider important.


  1. ELECTRONIC COMMUNICATIONS AND SIGNATURES

By using our services, submitting forms, joining the waitlist, signing up for communications, purchasing services, creating an account, or communicating with us electronically, you consent to receive electronic communications from us.

You agree that all agreements, notices, disclosures, policies, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.


You agree to the use of electronic signatures, contracts, orders, acknowledgments, consents, and records.


  1. GOVERNING LAW

These Terms and your use of the services are governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles.


Subject to the dispute resolution section below, any disputes not subject to arbitration shall be resolved in the state or federal courts located in Jefferson Parish, Louisiana, and the parties consent to personal jurisdiction and venue in those courts.


  1. DISPUTE RESOLUTION

Informal Resolution

Before filing a claim, you agree to first contact us at amandagianelloni@gmail.com and attempt to resolve the dispute informally.

The parties agree to attempt informal resolution for at least thirty (30) days before initiating arbitration or another legal proceeding, unless emergency injunctive relief is needed.


Binding Arbitration

If the parties cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms, the services, memberships, events, community, purchases, or your relationship with NOLA Women’s Sports shall be resolved by binding arbitration, except for the exceptions stated below.


You understand that by agreeing to arbitration, you and NOLA Women’s Sports are waiving the right to sue in court and the right to a jury trial.


Arbitration shall be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules, unless another arbitration provider or rules are required by law or agreed to by the parties.


Unless otherwise required by law, arbitration will take place in Jefferson Parish, Louisiana, or remotely if permitted by the arbitrator or applicable rules.


Class Action Waiver

To the fullest extent permitted by law, you and NOLA Women’s Sports agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any class action, collective action, representative action, consolidated action, or private attorney general action.


The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of class, collective, consolidated, or representative proceeding unless required by law.


Exceptions to Arbitration

The following disputes are not subject to mandatory arbitration:

  • Disputes seeking to enforce or protect intellectual property rights

  • Disputes involving unauthorized use, theft, piracy, or security violations

  • Claims for emergency injunctive or equitable relief

  • Claims that cannot be required to be arbitrated under applicable law

  • Claims that qualify for small claims court, if brought individually


Time Limitation

To the fullest extent permitted by law, any claim or dispute arising out of or relating to these Terms or the services must be brought within one (1) year after the claim arose, or it will be permanently barred.

  1. CHANGES TO THESE TERMS

We may update these Terms from time to time.

The updated version will be indicated by an updated “Last updated” date at the top of these Terms.

If we make material changes, we may notify you by email, website notice, community notice, checkout notice, or another appropriate method.


If we update these Terms in connection with the launch of NOLA Women’s Sports, the formation of a legal entity, the launch of memberships, the launch of a newsletter, the launch of a community platform, the introduction of paid services, or other new offerings, we may ask users to review and agree to the updated Terms where appropriate.


Your continued use of the services after updated Terms are posted means you accept the updated Terms, subject to applicable law.


  1. MISCELLANEOUS

These Terms, together with our Privacy Policy and any additional terms that apply to specific services, memberships, events, purchases, giveaways, promotions, or platforms, constitute the entire agreement between you and NOLA Women’s Sports regarding your use of the services.


If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity or enforceability of the remaining provisions.


We may assign, transfer, delegate, or otherwise move our rights and obligations under these Terms to another entity, successor, affiliate, or related company, including in connection with the formation of a NOLA Women’s Sports legal entity, launch, reorganization, merger, acquisition, financing, sale, or transfer of business assets.


You may not assign or transfer your rights or obligations under these Terms without our prior written consent.


No joint venture, partnership, employment, franchise, or agency relationship is created between you and NOLA Women’s Sports as a result of these Terms or your use of the services.


Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.
